Terms and Conditions1. Introduction
The following Terms of Use ("Agreement") explain froggybank.co.uk's obligations ("We" "Us" "Website") to the users and registered members of our Website ("You" "Member") and Your obligations. By using our Website and registering as a Member, You agree to these Terms of Use.
2. Membershipa)Individual Accounts: Membership to our website is only open to UK residents who are over the age of 16.
b)Only one account is allowed per person and a maximum of 3 accounts per house hold.
c)Charity Accounts: Only for registered charities in the UK and selected international charities.
d)Fundraiser accounts: Only for UK residents, schools, colleges, clubs, churches and organizations who raise funds for any legitimate cause. We reserve the right to disallow fundraising accounts if we believe the cause is immoral or unsuitable for our website.
e)Webmaster accounts: Only for website owners who are residents of the UK. If you are from another country and have website with predominantly UK traffic, please contact us first for approval.
f)You should consult our FAQs and contact our Customer service helpdesk with regards to any questions or issues regarding our service.
g)You agree not to post transaction related or customer service queries on open forums, on our site or elsewhere, unless specifically permitted by us in writing.
h)You must provide accurate information about yourself including valid email address. It is your responsibility to keep these details up to date on our website. We will be sending important information via email, your need to ensure that you get our emails. We suggest that you add our email addresses (support@froggybank.co.uk and news@froggybank.co.uk) to your address book or list of allowed senders
i)We retain the first £5 of cashback you earn through our website each year as admin fee. This is calculated from your date of joining. In any year, we will not deduct more than £5 from your earnings, regardless of your earnings the year before. If you do not earn enough to cover the admin fee, we will not charge you the difference. This admin fee is not deducted for registered charities that raise funds using our Website.
j)Selected "VIP members" are excluded from the admin fee. If your membership shows "VIP member" in your account, you will not be charged our annual admin fee. You may lose your "VIP Member" status if you do not make even a single transaction through our website in any 12 months.
k)We reserve the right to amend, impose conditions upon or cancel your membership at our absolute discretion at any time, usually when we suspect breach of our terms, policies, spamming or other activities which we believe could damage our brand values or our service.
3. Cashback Servicea)We promote and advertise goods and services from participating Retailers (Retailers) on our Website.
b)If You follow the instructions/links on these offers/advertisements on our Website and make transactions with Retailers, the Retailers pay us a sum of money ("Commission") for referring Your custom. The Retailer must confirm to us that Your purchase is tracked, valid and successful and pay us the Commission. ("Valid Transaction")
c)We pay You the amount advertised on our Website to You as "Cashback", after we receive this Commission for Your Valid Transactions
d)To earn Cashback on Your online Transactions
You should be logged into our website and visit the retailers by clicking on relevant links on our site just before making your purchase
Complete the transaction wholly online
Comply with any conditions advertised in the offer
Do not use any quotes or vouchers obtained from elsewhere
e)To earn Cashback on Your purchases In-store
You should have registered your credit/debit card/s using the secure pages on our site
Waited for at least 24 working hours before using the card to make your purchase
The cards/email addresses used should not have been registered with a similar facility on another website
Make the payment using a registered card at a participating retailer
f)In the uncommon event of a Retailer not paying us or delaying payments for whatever reason, we will do our best to chase up the payment and award You the cash back, but the Retailer's decision would be final. If they reverse the payment, for example if a product is returned, we will also have to reverse the Cashback in Your account.
g)We and/or the Retailers reserve the right to change terms/conditions/Cashback of any offer displayed on our site without notice
h)If either we or the Retailer suspect fraud, misuse we reserve the right to refuse to pay You the Cashback
i)There are various circumstances in which Cashback will not be payable, including:
The Retailers not paying us the commissions for any reason (returned orders, Retailer going into administration, suspected misuse etc.)
Suspension or termination of Your account due to suspected misuse or breach of this agreement
You allowing other people to use Your account on our Website or making purchases on other's behalf
Where the Cashback/reward is attributable to or unpaid in any member's account that has been inactive (not logged-in to the Website) for more than 12 months
j)If You do not enter or enter any incorrect details of Your payment method, we will not be able to pay You the Cashback. Therefore please ensure that Your profile is up to date on our Website so we know where to pay You without delays.
k)We do take great care in advertising the correct offer/Cashback/reward on our site. In the event of an error or omission, we reserve the rights to amend or delete the offer/reward.
4. Your purchases with Retailersa)Where we provide links and advertisements to the Retailers on our site You visit the Retailer/their website make the purchase directly from them. We do not sell any of these products or services ourselves.
b)You will address all issues regarding the product/service, payment; warranty etc. should be addressed directly with the relevant Retailer.
c)However, it is important that You understand that Retailers or their advertising/affiliate agencies should not be contacted by You for Cashback related issues.
d)Even though we take utmost care in checking the Retailers we list on our site, we are not in any way responsible for the content of their websites, their services, availability, legality, quality, safety or suitability of their products or services.
e)We do not provide any financial advice or recommendations on products. Therefore You understand that it is Your responsibility to make informed decisions based on Your own research.
5. Paymentsa)We send payments to members on a monthly basis, after we receive the payments from the merchants. This is sent by BACS transfer to a UK bank account. For charities, we may choose to pay their donations by cheque or credit card or by pay to support some of their specific projects/campaigns.
b)You are responsible for keeping your profile and contact details up to date to avoid delays in payments. If we send your payment and it is lost due to incorrect details in your profile, we will not resend the same payment again.
c)Any queries regarding payments sent to you should be made within 30 days of us sending you the payment.
d)Referral payments: When you refer other members using your referral link or your own page on froggybank, you will be eligible for a payment of £2.50 for each person who joins using your link or page. This £2.50 is only paid into your froggybank account when we deduct the first year's admin fee of £5 from their cashback earnings.
6. Prevention of Misusea)You agree not to buy products or services from any of our participating Retailers
By deceptively or unfairly exploiting the offers
Services or products which You do not intend to use (and buy for the purpose of getting Cashback/rewards)
b)You agree not to entice other members to misuse any offers advertised on our Website
c)With regards to any contributions/content/posts made by You in the community/review sections of our Website, You agree
Not to advertise goods or services or post affiliate links unless specifically allowed by us
Not to post/upload anything illegal or upload material like virus/Trojan/worn or anything else designed to interfere with our Website or services
That we have the rights to amend/delete/move any material submitted or posted by You
To comply with any forum/community guidelines and policies
Not to post any defamatory, abusive, indecent, menacing or malicious content
Not to spam other Members with unsolicited private or group messages
Not to write about or discuss any other loyalty/cashback services or their employees
Show due respect, courtesy towards other members
d)We reserve the right to suspend or terminate any member accounts or block access to our Website (partly or wholly) and/or other websites we own/operate if in our reasonable view that there has been a breach of our Terms of Use.
7. Privacy policyWe take our members privacy seriously. We are registered and comply with the requirements of the Data Protection Act 1998. Please see our Privacy Policy, which forms part of this agreement.
8. Intellectual Property RightsAll copyrights, trademarks, content, graphics, design and source code of our Website V A C Media Ltd and to copy, transmit, download, reproduce, rent, sell or distribute in any manner without written consent of the owners is not allowed. Violators of copyright laws are likely to face legal action. Of course You can download copy or print our pages for Your own personal, non-commercial home use.
9. Donations, Fundraising and Charitiesa)You can choose to donate a proportion of your earnings to charity or a fundraiser using your profile page.
b)All money which our members donate to charity will be paid to charities on regular basis, usually quarterly. If for any reason we are unable to pay or decide not to work with any particular charity, the donations due to that charity will be made to other charities at our discretion.
c)A listing on froggybank.co.uk of any charity, fundraiser, webmaster or a cause is not an endorsement of froggybank.co.uk to them, nor an endorsement of froggybank.co.uk by them.
d)We reserve the right to add, amend, allow or disallow any cause, fundraising page or charity on our site.
10. If you were Registered with CashbackKings.coma)CashbackKings.com was bought by froggybank in February 2011 and all members of CashbackKings.com are merged with froggybank on the 6th of May 2011. Rpoints Ltd (in liquidation, the Seller), who owned CashbackKings.com previously, went into Liquidation in 2010. Our company, V A C Media Limited purchased certain domains, Websites and customer database and the right to continue to provide the services from the Seller on the 17th of February 2011.
b)If you login to froggybank with your CashbackKings.com user ID and password before the 1st of August 2011, your membership will be upgraded free of cost to VIP Member status. More details on our CashbackKings.com Re-launch Announcement Page
c)We did not purchase any previous transactions, liabilities or cash balances. Therefore we are not liable for any transactions, Cashback or other liabilities owed to You by the previous owners of CashbackKings.com
d)When You login and start using froggybank (from 7th of May 2011), You agree to this new terms of use and related policies on our site. Your Cashback balance will start from zero (unless you have previous balances by shopping through froggybank.co.uk). You understand and agree that You cannot hold responsible the current management, staff or owners of CashbackKings for any acts, Cashback balances or liabilities of the Seller.
e)We strictly comply with the Data Protection Act. Please see our Fair Processing Notice.
11. Disclaimers and Limitationsa)While we do take reasonable care and diligence in providing our service, our service is provided on an "as seen" or "as available" basis and without any warranties, express or implied including but not limited to warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, functionality, security, accuracy and availability.
b)To the extent permitted by law, we will not be liable for any losses or damage caused directly or indirectly to anyone resulting in using our Website.
c)The content of our site and reviews or comments by anyone including other members should not be taken as advice and it is up to You to make Your decisions regarding Your purchases.
d)With regards to any liability regarding disputed Cashback balances, You understand that our maximum liability for any such transactions is the amount of commission we receive from the Retailer for that particular transaction.
d)Fundraising pages/accounts are which are listed on our website are for our members use. While we do our best to monitor these causes, we do not have any control over how the fundraisers/charities spend the money and we will not be liable for their promotions, representation or actions.
12. Miscellaneousa)We reserve the right to modify these Terms of Use or any part of our Website or services at any time. The content of this page was last updated on the 6th of May 2011.
b)If we modify the terms and conditions, we will post it on our Website and from the date of posting, it will apply to all our members including the existing ones.
c)We reserve the right to assign or sub-contract our rights under this agreement and/or the provision of our services.
d)This agreement replaces any previous agreements and understandings with You by Froggybank
e)The terms and conditions of our services and any disputes if they arise shall be governed by and construed in accordance with the law of England without reference to rules governing choice of laws.
f)By joining as our member of our Website You hereby submit to the exclusive jurisdiction of the English courts and indemnify Us for any loss, expenses or damage which may arise out of (a) You breaching these Terms and Conditions (b) Your transaction with any Retailers.
f)In the event that any term of this Terms of Use is held to be invalid or unenforceable, the remainder of this Agreement shall remain valid and enforceable. Our failure to act with respect to a breach by You or others does not waive our right to act with respect to subsequent or similar breaches.
13. Contacting Usa)Please note that all communications regarding this agreement, Cashback, our site policies etc., need to be done by contacting us through our Online Helpdesk, following which You will receive response by email from us. We do not provide customer service by other methods or answering questions on other websites.
